B2B Only: These T&Cs apply exclusively to businesses within the meaning of § 1 UGB (Austrian Commercial Code).

1) Scope & Parties
These T&Cs govern the conclusion, use and termination of the Reputify.io software-as-a-service (“Reputify”) between the Operator and registered business customers (“Customers”). Any deviating terms shall only apply if expressly confirmed in writing.

2) Definitions
Platform/Service: Reputify as an online service (web/app, API).
Customer Content: Data imported or entered by Customers (reviews, texts, media).
End Users: Individuals who submit reviews about Customers.
Third-Party Providers: e.g., Google, Meta/Facebook, Trustpilot, ProvenExpert and their APIs.

3) Registration & Account
Use is B2B only; consumers/minors are excluded. Details provided must be accurate and kept up to date; access credentials must be kept confidential. Multiple accounts are not permitted. The contract is concluded upon registration.

4) Services & Features
Reputify provides tools to import, aggregate and analyze reviews (incl. TrustScore, badges/trust widgets, AI analyses such as sentiment/keywords), as well as to manage/export data. Scope and pricing are as stated on the website/plan overview. Reputify may modify, extend or discontinue features where objectively required.

5) Content & Customer Responsibility (incl. End Users)
Reputify acts as an infrastructure/hosting provider. Content is not editorially reviewed. Customers are solely responsible for the legality, accuracy and rights clearance of their content, including trademark, copyright, labelling and personality rights. Only genuine customers may submit reviews; invitations to end users require a lawful basis (e.g., consent or soft opt-in under TKG/GDPR). Unlawful, insulting, discriminatory, misleading or manipulated content is prohibited; Reputify may remove or block such content.

6) Automated Checks, Moderation & Blocking
For quality assurance, Reputify uses automated checks (incl. AI-based procedures) to detect spam, duplicate/fake reviews, offensive language, unusual patterns and manipulation attempts. Suspicious content/accounts may be flagged, hidden, delayed or deleted automatically; repeated violations may result in profile suspension. No entitlement to publication or manual review; Reputify may provide a reasonable review upon request, without any obligation to publish. Reputify does not take exclusively automated decisions producing legal effects within the meaning of Art. 22 GDPR.

6a) Procedure for Reported Reviews (Notice & Review)
Reviews submitted directly on the Reputify platform can be reported as potentially unlawful. Upon receipt of a report: (1) Temporary Deactivation: the review is hidden (“under review”); (2) Evidence Preservation: content and related metadata are logged; (3) Notification/Clarification: parties may be asked for further information within a set deadline; (4) Assessment & Decision: Reputify decides on restoration, anonymization or deletion. During ongoing legal disputes or when legal action is threatened, reviews may remain suspended without substantive assessment. There is no entitlement to publication, review or reinstatement of any removed/suspended review. In cases of abusive reporting, Reputify may restrict or suspend accounts.

7) Third Parties, Integrations & Data Quality (Disclaimer)
Reputify integrates third-party interfaces (APIs). Reputify has no influence over their availability, functioning, data quality or terms. No warranty/liability for outages, API changes, rate limits, outdated or incorrect data from such providers; any resulting damage/loss is excluded. The same applies to network/server disruptions, maintenance and force majeure.

8) API Use & Fair Use
API access is subject to authentication, rate limits and technical specifications; Reputify may throttle/block requests in case of security violations, limit exceedance, mass scraping, circumvention attempts, improper use or threats to system stability.

9) Pricing, Taxes, Upgrade/Downgrade, Refunds
Prices as stated on the website, plus VAT. Subscriptions renew automatically unless terminated 14 days before the end of the current term. Upgrades take effect immediately; downgrades at the next billing period. No refunds for started periods (mandatory law unaffected). Invoices are delivered electronically; in case of default, access may be restricted.

10) Term, Termination & Suspension
Ordinary termination by Customers at any time; for paid plans with 14 days’ notice to the end of the term. Reputify may terminate with 4 weeks’ notice or at any time for cause (e.g., payment default, violations, manipulation). Reputify may temporarily suspend accounts to prevent misuse or damage.

11) Availability, Maintenance & Support (No SLA)
No specific availability level is owed; planned maintenance may cause interruptions (announced where possible). Support is available by e-mail on Austrian business days during usual business hours.

12) Data Export, End of Term & Retention
During the contract term, data export (e.g., reviews, settings, analyses) is available. After termination, data are retained for 30 days and then deleted, unless statutory retention applies. No claim to specific export formats, compatibility or post-processing.

13) Data Protection, Roles, DPA & Sub-processors
Customers are Controllers under the GDPR; Reputify acts as Processor (Art. 28 GDPR). Reputify’s Data Processing Agreement (DPA) applies in its current version (provided in the account or upon request). Reputify may use sub-processors (list available); processing occurs within the EU/EEA; third-country transfers only with appropriate safeguards (e.g., EU Standard Contractual Clauses). Privacy information (purposes, categories, retention) is provided separately.

14) IP & Usage Rights; References
Reputify grants Customers a simple, non-transferable right to use the platform and trust badge/embed scripts for the contract term; modifications are not permitted. Customers grant Reputify simple rights of use in Customer Content solely for storage, display and analysis (incl. technical reproduction/caching). Optional: reference use (name/logo) permitted; Customers may object at any time.

15) Prohibited Uses & Compliance
Prohibited inter alia: unlawful content, insult/discrimination, deception, manipulation of reviews, circumvention of technical measures, malware, unlawful advertising, political campaigning. Customers remain responsible for compliance with advertising/professional rules (e.g., UWG, medicinal advertising) and with TKG/GDPR (e.g., consent, information duties).

16) Warranty & Liability
Reputify is provided “as available” without any guarantee of specific results. Liability is unlimited for intent and gross negligence, for personal injury and under the Austrian Product Liability Act. For slight negligence, liability applies only for breach of essential contractual duties and is limited to the foreseeable, typical damage, capped at the fees paid in the last 12 months. Excluded (to the extent permitted by law) are loss of profit, indirect/consequential damages and data loss (unless statutory duties require otherwise). No liability for third-party outages, API changes, or filtering/suspension under clauses 6 and 6a.

17) Indemnification
Customers shall indemnify and hold Reputify harmless from third-party claims (in particular due to Customer Content, End-User reviews, e-mail invitations, competition/copyright/trademark/personality rights infringements), including reasonable legal defence costs.

18) Changes to these T&Cs
Reputify may amend these T&Cs for valid reasons (law, security, features). Notice is given at least 30 days before taking effect. If Customers do not object in due time, the amendments are deemed accepted; the special termination right on the effective date remains unaffected.

19) Set-off, Assignment, Form & Language
Set-off only with undisputed or finally adjudicated claims. Rights under the contract may not be assigned without consent. Notices may be given electronically. In case of discrepancies, the German version of these T&Cs prevails.

20) Governing Law & Venue
These T&Cs are governed exclusively by Austrian law, excluding conflict-of-laws rules. Exclusive venue is Korneuburg, Austria. If any provision is invalid, the remainder remains in force; the invalid provision shall be replaced by one that comes closest to the economic intent (severability clause).
